A computable contract is a contractual obligation that has been formulated such that a computer system can both interpret and determine whether the obligation has been complied with. Consideration Consideration is “Quid Pro quo” that is something in return. An agreement made without consideration is void. According to Section 2(d) of Indian Contract Act, consideration means when at the desire of the promisor the promisee or any other person has done something or abstained from doing something or is doing something or abstaining from doing something or promise to do something or promise to abstain from doing something. Promisor -pays Promisee -performs Essentials and legal rules for valid consideration- 1. Consideration must move at the desire of the promisor. For example voluntary service or services will not entitle to recover money. In Durga Prasad vs Baldeo the plaintiff constructed certain shops in a market as per instruction of Collector of that place. Plaintiff announced that he will charge some Commission on sale of articles from those shops. Defendant occupied one of the shop and failed to pay commission. In this case court has held that construction was not done as a desire of defendant but it was constructed at the desire of collector. Therefore defendant is not liable to pay commission. 2. Consideration must be lawful. It also means that it should not be prohibited by law, illegal, immoral or opposed to public policy. For example, X offers Rs 2000 to Y for beating up Z, his enemy. Y beats up Z but X refuses to pay him. Y cannot recover the money promised to him because the consideration is unlawful. 3. Consideration should be real and competent. It should not be an impossible act. For example a man promises to discover Treasure by magic. It is a void and illusory. 4. Consideration must have some value in the eyes of law. 5. Consideration must not be existing duty of a government servant on duty arising out of a contract. For example, no need to pay amount for police investigation. 6. The consideration maybe inadequate as long as free consent is there. For example, X promises to sell his house which is worth Rs. 6 lakhs to Y for only Rs. 1 lakh. 7. The performance consideration may be provided by promisee or any other person. In Chinayya vs Ramayya, an old lady, by a deed of gift transferred certain property to her daughter Ramayya with the direction that the daughter should pay an annuity to her brother (i.e. maternal uncle of Ramayya). Daughter executed a writing in favour of maternal uncle to pay the annuity. Afterwards she declined to pay annuity on the ground that no consideration has moved from her maternal uncle. i.e. the promise. In this case court has held that her maternal uncle is entitled to collect annuity because consideration indirectly moved from that old lady to her brother. This is also known as doctrine of constructive consideration. 8. Consideration may be past, present or future. In English law past consideration is not valid

contractual, purposes. A quasi-contract is not an actual contract, but is a legal substitute formed to impose equity between two parties. The concept of a quasi-contract is that of a contract that should have been formed, even though in actuality it was not. It is used when a court finds it appropriate to create an obligation upon a non-contracting party to avoid injustice and to ensure fairness. It is invoked in circumstances of and is connected with the concept of restitution. Generally the existence of an actual or implied-in-fact contract is required for the defendant to be liable for services rendered, and a person who provides a service uninvited is an officious intermeddler who is not entitled to compensation. "Would-be plaintiffs cannot deliver unordered goods or services and demand payment for the benefit....A corollary is that one who does have an enforceable contract is bound by the contract's terms: subject to a few controversial exceptions, she cannot sue for restitution of the value of benefits conferred..." [1] However, in many jurisdictions under certain circumstances plaintiffs may be entitled to restitution under quasi-contract (as in the example of Louisiana or Oklahoma below). They are used as remedies for unjust enrichment, management of another's affairs (negotiorum gestio), or payment of a thing not due (indebiti solutio). Quasi-contracts are defined to be "the lawful and purely voluntary acts of a man, from which there results any obligation whatever to a third person, and sometime a reciprocal obligation between the parties."[citation needed] Quasi-contracts are stipulated in the 3rd Book, Title IV, Chapter 1 of the French Civil Code (articles 1371-1381).[2] One authority defines a quasi-contract as "A licit and voluntary act from which derives obligations subject to a regime close to the contractual one imposing on the author of the act and a third party, not-bound by a contract".[3]
