It does not refer to a private bank, which is a non-incorporated banking institution. Private banking forms a more exclusive (for the especially affluent) subset of wealth management. At least until recently, it largely consisted of banking services (deposit taking and payments), discretionary asset management, brokerage, limited tax advisory services and some basic concierge-type services, offered by a single designated relationship manager.

As we already said, M&A stands for Mergers and Acquisitions. In every M&A process, there are at least two parties. One of the companies is called the Buyer or the Buying company, and the other one is called the Target, which is the firm acquired. The Buyer company can offer a compensation to the Target company’s shareholders in several ways. They can offer a cash compensation, a stock package of the new entity, or a combination of both. The technical name of the amount paid is called “consideration.” There are several reasons M&A deals play an important role in a company’s life. Top managers understand that, sometimes, it is cheaper to acquire something that has been already created, rather than trying to generate it internally. In addition, businesses are so complimentary that their combination can unlock a great deal of savings, efficiencies, and opportunities. We will focus on these aspects in the chapter dedicated to the mechanics of M&A services. Why do companies need help when acquiring other companies? Investment bankers are ideally positioned to provide valuable M&A insights to their clients, as they know their business and the industry in which they operate. Sometimes, an investment bank advises several firms from an industry and can gain perspective through multiple points of view. Besides M&A, many investment banks engage in restructuring services. Chase Bank Closes My Business Account after Selling Bitcoin with Cash Payments!

What a surprise today to logon and find my Chase Bank platinum business banking account closed after selling Bitcoin using Coinbase at http://jerry.tips/coinbjb to buy and Wall of coins to sell with cash deposits! The CRAZIEST part is that they refused to provide a reason! Customer support said “We are unable to give you a reason why we restricted your account, suspended your online access, and are closing it within 10 days AND no one else at Chase will be able to provide you with an explanation.” Thankfully I see the positive in that this account was costing me $95 a month which I will no longer have to pay and it also saves me the time for selling Bitcoin. If I had to guess why they closed the account, my guess is that they did not like my $10,000+ in CASH deposits at locations around the USA in February 2017 from Wall of Coins Bitcoin buyers paying cash for BTC. If that did not trigger them to flag the account, it might have been my $20,000+ in withdrawals to Coinbase to buy more Bitcoin to send back to WOC. When combining all of these together, I can imagine how a teller or branch manager might have got all excited and alerted the fraud department. I felt so good about helping cash buyers get their Bitcoin and making a 10% commission in doing so that I made an online video course about it at http://skl.sh/2llwqa3 which I am guessing the JP Morgan Chase Bank N.A. representative that closed my account did not watch. I hope in sharing my experience getting my 4 year old business banking account closed with Chase and having my online access suspended is helpful for you if the same happen to you or if you are considering following what I teach in my class! The founder of Wall of Coins advised me to not take payments larger than $200 as deposits because of the risk of accounts being restricted but as you can guess I did not listen to that and accepted a $2,500 payment into my Chase account just two days ago for Bitcoin which cost me around $2,300 to buy. Maybe smaller transactions would help or maybe a different bank or maybe buying on a different exchange! Wealth management as an investment-advisory discipline which incorporates financial planning, investment portfolio management and a number of aggregated financial services. High-net-worth individuals (HNWIs), small-business owners and families who desire the assistance of a credentialed financial advisory specialist call upon wealth managers to coordinate retail banking, estate planning, legal resources, tax professionals and investment management. Wealth managers can have backgrounds as independent Chartered Financial Consultants, Certified Financial Planners or Chartered Financial Analysts (in the United States), Chartered Strategic Wealth Professionals (in Canada), Chartered Financial Planners (in the UK), or any credentialed (such as MBA) professional money managers who work to enhance the income, growth and tax-favored treatment of long-term investors. Private wealth management is delivered to high-net-worth investors. Generally this includes advice on the use of various estate planning vehicles, business-succession or stock-option planning, and the occasional use of hedging derivatives for large blocks of stock. Traditionally, the wealthiest retail clients of investment firms demanded a greater level of service, product offering and sales personnel than that received by average clients. With an increase in the number of affluent investors in recent years, there has been an increasing demand for sophisticated financial solutions and expertise throughout the world. The CFA Institute curriculum on private-wealth management indicates that two primary factors distinguish the issues facing individual investors from those facing institutions: 1. Time horizons differ. Individuals face a finite life as compared to the theoretically/potentially infinite life of institutions. This fact requires strategies for transferring assets at the end of an individual's life. These transfers are subject to laws and regulations that vary by locality and therefore the strategies available to address this situation vary. This is commonly known as accumulation and decumulation. 2. Individuals are more likely to face a variety of taxes on investment returns that vary by locality. Portfolio investment techniques that provide individuals with after tax returns that meet their objectives must address such taxes. The term "wealth management" occurs at least as early as 1933. It came into more general use in the elite retail (or "Private Client") divisions of firms such as Goldman Sachs or Morgan Stanley (before the Dean Witter Reynolds merger of 1997), to distinguish those divisions' services from mass-market offerings, but has since spread throughout the financial-services industry. Family offices that had formerly served just one family opened their doors to other families, and the term Multi-family office was coined. Accounting firms and investment advisory boutiques created multi-family offices as well. Certain larger firms (UBS, Morgan Stanley and Merrill Lynch) have "tiered" their platforms – with separate branch systems and advisor-training programs, distinguishing "Private Wealth Management" from "Wealth Management", with the latter term denoting the same type of services but with a lower degree of customization and delivered to mass affluent clients. At Morgan Stanley, the "Private Wealth Management" retail division focuses on serving clients with greater than $20 million in investment assets while "Global Wealth Management" focuses on accounts smaller than $10 million. In the late 1980s, private banks and brokerage firms began to offer seminars and client events designed to showcase the expertise and capabilities of the sponsoring firm. Within a few years a new business model emerged – Family Office Exchange in 1990, the Institute for Private Investors in 1991, and CCC Alliance in 1995. These companies aimed to offer an online community as well as a network of peers for ultra high-net-worth individuals and their families. These entities have grown since the 1990s, with total IT spending (for example) by the global wealth management industry predicted to reach $35bn by 2016, including heavy investment in digital channels.

JPMorgan Chase: Can you Bank on it as a Good Investment?

Yesterday it was announced that many of the banks in the country passed the Federal Reserve’s Stress Test, also known as the Comprehensive Capital Analysis and Review. The Fed tested the banks’ ability to pass a situation where there is a 50% drop in equities, a 21% drop in the price of housing, and a 13% unemployment rate. 30 banks passed the test while 3 did not. Two foreign banks that do business in the U.S., Germany’s Deutsche bank and Spain’s Banco Santander all saw their plans rejected. Morgan Stanley did not get rejected, but instead saw conditional approval. They have until the end of the year to revise their plan. These stress tests began in 2012, and seeing 30 banks pass speaks to the strength of our current banking system here in the U.S. After the announcement, many of the banks announced their plans to increase dividends and buy back stock. Today’s company of the day is JPMorgan Chase (JPM), whose current price is $62.14 and 52-week range is $50.07-$70.61. JPM announced a $10.6 billion stock buyback program after they were revealed as a passing bank. It was the largest buyback program announced by the major banks. Sales have increased for JPM by 1.3% over the last twelve months, while EPS has risen by 8.1% during the same time frame. They currently pay a dividend of 3.22% and only use 30% of their earnings to pay that out. We were surprised to see they did not announce an increase in their dividend after passing the Stress Test. The Goldman Sachs Group, Inc. is an American multinational finance company that engages in global investment banking, investment management, securities, and other financial services including asset management, mergers and acquisitions advice, prime brokerage, and securities underwriting services. It also sponsors private equity funds, is a market maker, and is a primary dealer in the United States Treasury security market. Goldman Sachs also owns GS Bank USA, a direct bank. Goldman Sachs was founded in 1869 and is headquartered at 200 West Street in Lower Manhattan, New York City, with additional offices in other international financial centers.[3] Due to its involvement in securitization during the subprime mortgage crisis, Goldman Sachs suffered during the 2007-2008 financial crisis,[4][5] and received a $10 billion investment from the United States Department of the Treasury as part of the Troubled Asset Relief Program, a financial bailout created by the Emergency Economic Stabilization Act of 2008. The investment was made in November 2008 and was repaid in June 2009.[6][7] The list of former employees of Goldman Sachs who moved on to government positions includes former U.S. Secretaries of the Treasury Robert Rubin and Henry Paulson; current United States Secretary of the Treasury Steven Mnuchin; current chief economic advisor Gary Cohn; European Central Bank President Mario Draghi; former Bank of Canada Governor and current Governor of the Bank of England Mark Carney and the current Prime Minister of Australia Malcolm Turnbull. In addition, former Goldman employees have headed the New York Stock Exchange, the World Bank, and major banks such as Citigroup and Merrill Lynch. On November 16, 1981, the firm acquired J. Aron & Company, a commodities trading firm which merged with the Fixed Income division to become known as Fixed Income, Currencies, and Commodities. J. Aron was a player in the coffee and gold markets, and the current CEO of Goldman, Lloyd Blankfein, joined the firm as a result of this merger. In 1985 it underwrote the public offering of the real estate investment trust that owned Rockefeller Center, then the largest REIT offering in history. In accordance with the beginning of the dissolution of the Soviet Union, the firm also became involved in facilitating the global privatization movement by advising companies that were spinning off from their parent governments. In 1986, the firm formed Goldman Sachs Asset Management, which manages the majority of its mutual funds and hedge funds today. In the same year, the firm also underwrote the IPO of Microsoft, advised General Electric on its acquisition of RCA and joined the London and Tokyo stock exchanges. 1986 also was the year when Goldman became the first United States bank to rank in the top 10 of mergers and acquisitions in the United Kingdom. During the 1980s the firm became the first bank to distribute its investment research electronically and created the first public offering of original issue deep-discount bond. Robert Rubin and Stephen Friedman assumed the Co-Senior Partnership in 1990 and pledged to focus on globalization of the firm and strengthening the Merger & Acquisition and Trading business lines. During their reign, the firm introduced paperless trading to the New York Stock Exchange and lead-managed the first-ever global debt offering by a U.S. corporation. It also launched the Goldman Sachs Commodity Index (GSCI) and opened a Beijing office in 1994. Also in 1994, Jon Corzine assumed leadership of the firm as CEO, following the departure of Rubin and Friedman.[19] Another momentous event in Goldman's history was the Mexican bailout of 1995. Rubin drew criticism in Congress for using a Treasury Department account under his personal control to distribute $20 billion to bail out Mexican bonds, of which Goldman was a key distributor.[20] On November 22, 1994, the Mexican Bolsa stock market had admitted Goldman Sachs and one other firm to operate on that market.[21] The 1994 economic crisis in Mexico threatened to wipe out the value of Mexico's bonds held by Goldman Sachs. In 1994, Goldman financed Rockefeller Center in a deal that allowed it to take an ownership interest[22] in 1996, and sold Rockefeller Center to Tishman Speyer in 2000.[23] In April 1997, Goldman was lead underwriter of the Yahoo! IPO. The investment banking industry has come under criticism for a variety of reasons, including perceived conflicts of interest, overly large pay packages, cartel-like or oligopolic behavior, taking both sides in transactions, and more. Conflicts of interest may arise between different parts of a bank, creating the potential for market manipulation, according to critics. Authorities that regulate investment banking (the FSA in the United Kingdom and the SEC in the United States) require that banks impose a "Chinese wall" to prevent communication between investment banking on one side and equity research and trading on the other. Critics say such a barrier does not always exist in practice, however. Conflicts of interest often arise in relation to investment banks' equity research units, which have long been part of the industry. A common practice is for equity analysts to initiate coverage of a company in order to develop relationships that lead to highly profitable investment banking business. In the 1990s, many equity researchers allegedly traded positive stock ratings for investment banking business. Alternatively, companies may threaten to divert investment banking business to competitors unless their stock was rated favorably. Laws were passed to criminalize such acts, and increased pressure from regulators and a series of lawsuits, settlements, and prosecutions curbed this business to a large extent following the 2001 stock market tumble after the dot-com bubble. Philip Augar, author of The Greed Merchants, said in an interview that, "You cannot simultaneously serve the interest of issuer clients and investing clients. And it's not just underwriting and sales; investment banks run proprietary trading operations that are also making a profit out of these securities."[30] Many investment banks also own retail brokerages. During the 1990s, some retail brokerages sold consumers securities which did not meet their stated risk profile. This behavior may have led to investment banking business or even sales of surplus shares during a public offering to keep public perception of the stock favorable. Since investment banks engage heavily in trading for their own account, there is always the temptation for them to engage in some form of front running -- the illegal practice whereby a broker executes orders for their own account before filling orders previously submitted by their customers, there benefiting from any changes in prices induced by those orders. Documents under seal in a decade-long lawsuit concerning eToys.com's IPO but obtained by New York Times' Wall Street Business columnist Joe Nocera alleged that IPOs managed by Goldman Sachs and other investment bankers involved asking for kickbacks from their institutional clients who made large profits flipping IPOs which Goldman had intentionally undervalued. Depositions in the lawsuit alleged that clients willingly complied with these demands because they understood it was necessary in order to participate in future hot issues.[32] Reuters Wall Street correspondent Felix Salmon retracted his earlier, more conciliatory, statements on the subject and said he believed that the depositions show that companies going public and their initial consumer stockholders are both defrauded by this practice, which may be widespread throughout the IPO finance industry.[33] The case is ongoing, and the allegations remain unproven. Investment banking is often criticized for the enormous pay packages awarded to those who work in the industry. According to Bloomberg Wall Street's five biggest firms paid over $3 billion to their executives from 2003 to 2008, "while they presided over the packaging and sale of loans that helped bring down the investment-banking system." [34] The highly generous pay packages include $172 million for Merrill Lynch & Co. Some hard money lenders may charge 16 percent interest while others could charge 8 percent. Some banks may charge more than other banks. In this video, I show the different costs I pay with my lender and the amount of cash I bring to the deal with each scenario. Private money lenders can also vary greatly with their terms and conditions as well. I could pay from 6 to 12 percent for different lenders and different terms. I could put 10 percent down or even get money back at closing with some of my lenders. I go over all of this and what my favorite options are for financing my house flips.
