In this video, we discuss what is underwriting by Investment Banks and how they essentially ensure the fundraising of the company going for an IPO. What is Underwriting? When a firm looks to raise funds from the public, then they approach investment bankers to help them go to market, find investors etc. One of the functions of investment bankers is to ensure that the fundraising is a success. Underwriting means that if for some reason during an IPO, the firm is unable to raise the funds that they are looking for, then the Investment banks will compensate them by buying the unsold amount. For example, if company A is going for an IPO and was looking for $100 million public money. If due to some reason they are able to raise only $20 million. In this case, underwriting Investment Bank will purchase the remaining $20 million and sell the stock whenever there is a profit opportunity. Introduction The word merchant bank does not have a fixed definition as this term is used differently in different countries. In U.S.A. these are called “Investment Banks” and in UK “accepting and issuing houses”. The notification of Ministry Of Finance in India defines Merchant Banker as “any person who is engaged in the business of issue management either by making arrangements regarding selling, buying, or subscribing to the securities as manager, consultant, adviser in relation to such an issue management”. Some of the world famous merchant banks are Goldman Sachs, Morgan Stanley etc. In India there are many banks are in the field of merchant banking some of the banks are ICICI, State Bank Of India, Punjab National Bank etc. History The history of merchant bank can be dated back to 17th & 18th centuries when it first started in Italy & France. This was started by the Italian grain merchants. It comprised of merchant bankers who intermediated or assisted in financing the transactions of other traders and their own trade too. With the passage of time the practices in evolved and the merchant banking in the modern era started from London where the merchants started to finance the foreign trade through acceptance of bill. We are very honoured to welcome the president of world’s largest international public lending institution. As president of The European Investment Bank, Werner Hoyer oversees a balance sheet with assets worth over 570.000 million euros. The goal of the EIB is to finance projects that bring about European integration and social cohesion. How do projects get chosen and where in the European economy lay underutilized opportunities to reach this goal? Werner Hoyer believes for instance there is an overall investment gap in the European Union, stating that our infrastructure spending is at a 20-year low. Why is it so important that we have a public institution that facilitates investment spending in the European Union? Its seems to make the argument that capital markets itself are not efficient enough to allocate money to potentially successful projects. But the Quantitative Easing policy by the European Central Bank intends to combat the same issue, since very low interest rates make opportunity costs of investments much lower. Earlier this month in Davos, Werner Hoyer said he tries to accommodating the transmission of this QE into the real economy. But what does this mean for the core function of the European Investment Bank itself? And even though the Eurozone is on a solid recovery to high growth, it still faces great challenges to overcome future crises. The economic divergence between the North and South, and high private debt levels are examples that there is still a lot to be done. How does the EIB fit into this picture, and should it increase its mandate in order to face contemporary economic challenges?
